Technical Doctor Terms and Conditions

Technical Doctor provides the agreements below as the governing terms for client relationships and service use. These documents establish obligations, responsibilities, scope, and data protection requirements across managed services, compliance services, and third-party tools used to support delivery.

Agreement Framework

Client engagements are governed by the Master Services Agreement together with the applicable service attachments, schedules, and any data protection terms associated with the account. Where signed documents, order forms, statements of work, or written amendments exist, those executed terms govern the engagement. When an order of precedence is defined in the controlling agreement, that order governs in the event of any inconsistency between documents.

Master Services Agreement

The Master Services Agreement (MSA) establishes the legal and commercial framework for the relationship, including contracting terms, fees and payment provisions, confidentiality, limitation of liability, term and termination, warranties, and dispute provisions.

Service Attachment for Managed Services

The Managed Services Attachment defines managed service scope, support expectations, operational responsibilities, exclusions, and service administration terms tied to ongoing delivery.

Service Attachment for Compliance Services

The Compliance Services Attachment defines compliance-related scope and deliverables, including shared responsibilities, advisory limitations, and requirements tied to client governance and regulatory obligations.

Schedule of Services

The Schedule of Services lists service offerings, add-ons, and schedule-based details referenced by the governing agreement for delivery and account administration.

Business Associate Agreement and Data Processing Agreement

The Business Associate Agreement (BAA) and Data Processing Agreement (DPA) define data protection, privacy, and security obligations that apply when Technical Doctor processes data on a client’s behalf, including regulated data where applicable.

Schedule of Third-Party Services

The Schedule of Third-Party Services identifies third-party platforms and tools that may be used to support service delivery and outlines relevant dependencies, licensing considerations, and third-party terms where applicable.

Confidentiality and Distribution

Access to these documents is provided for client contracting, onboarding, and internal compliance review. Distribution is limited to authorized client stakeholders and approved partners. External sharing requires written authorization from Technical Doctor.
